MISSISSAUGA, June 30, 2009 /CNW/ - Tri-White Corporation (TSX:TWH) ("Tri-White") announced today that at the annual and special meeting of shareholders (“ClubLink Shareholders”) of ClubLink Corporation (TSX:LNK) ("ClubLink") held earlier today in Oakville, Ontario, Canada, ClubLink Shareholders (including a majority of minority shareholders) approved the amalgamation (the “Amalgamation”) of ClubLink and 2207610 Ontario Inc., a wholly-owned subsidiary of Tri-White, as described in the ClubLink Management Information Circular dated May 29, 2009 (the “ClubLink Circular”). Upon completion of the Amalgamation, ClubLink will become a wholly-owned subsidiary of Tri-White and continue to operate under the name of ClubLink Corporation. Of the voting ClubLink Shareholders at today's meeting, 98.8% voted in favour of the Amalgamation. In addition, minority shareholders voted 94.7% in favour of the Amalgamation. As described in the ClubLink Circular, ClubLink Shareholders, other than Tri-White and its affiliates, are entitled to receive 1.1 common shares of Tri-White for each common share of ClubLink.
The Amalgamation is expected to occur on or prior to July 31, 2009. Once the Amalgamation is effective, applications will be filed to de-list the common shares of ClubLink from trading on the Toronto Stock Exchange and for ClubLink to cease to be a reporting issuer.
Additionally, Tri-White announced that at its annual and special meeting of shareholders (“Tri- White Shareholders”) held earlier today in Oakville, Ontario, Canada, Tri-White Shareholders approved the filing of articles of amendment to change the name of “Tri-White Corporation” to “ClubLink Enterprises Limited”, as described in the Tri-White Management Information Circular dated May 29, 2009. Details of the voting results will be filed on SEDAR (www.sedar.com). It is expected that the articles of amendment effecting the name change will be filed prior to the effective date of the Amalgamation.
Tri-White Corporation has a proven record of building and delivering value through its corporate investment operations. Tri-White is the largest shareholder in ClubLink Corporation. As well, it owns a 100% interest in the historic White Pass & Yukon Route Railway, including strategic holdings in the port operations and supporting excursions, based in Skagway, Alaska.
